1. Agreement to These Terms
By browsing the Site, requesting a quotation or placing an order, you agree to these Terms, our Privacy Policy, Shipping Policy, Return & Refund Policy and Warranty Policy, which together form the whole agreement between you and Shinko Power. If you do not agree, do not use the Site.
2. Definitions
“Products” means the cells, battery packs, systems and accessories we sell. “Datasheet” means the batch technical document supplied with a quotation or shipment. “Business customer” means a buyer acting in the course of trade; “consumer” means a buyer acting outside it. Some protections in these Terms apply only to consumers where consumer law grants them.
3. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract. If you create an account, keep your credentials confidential; activity under your login is treated as yours. We may suspend accounts used in breach of these Terms.
4. Products and Specifications
Product pages describe typical specifications of a model line. Exact figures for a given lot, including capacity, dimensions and terminal hardware, are stated in the Datasheet, which governs in case of any difference. Photographs may show a related format of the same construction where noted in the caption. We may improve or discontinue Products at any time; changes never reduce what you have already ordered.
5. Orders and Acceptance
Your order is an offer. A contract forms when we email shipment confirmation, or for quoted and custom items, when we issue a written order confirmation. We may decline or cancel an order for pricing or stock errors, failed payment or fraud screening, export or transport restrictions, or suspected unauthorized resale; if payment was taken, we refund it in full. Obvious pricing errors are corrected and you will be offered the true price before any charge.
6. Prices, Taxes and Payment
Prices are in US dollars and exclude shipping and taxes unless stated. Sales tax is added where we are required to collect it. Payment is due at order through the methods shown at checkout; approved business accounts may pay against invoice under the terms printed on it. We may charge interest on overdue trade invoices at the lesser of 1.5% per month or the legal maximum.
7. Shipping, Title and Risk
Dispatch times, carriers and lithium transport compliance are set out in the Shipping Policy. Unless a consumer law says otherwise, risk of loss passes to you when we hand the goods to the carrier, and title passes on full payment. Inspect deliveries and note damage as described in that policy so carrier claims can be made in time.
8. Returns and Cancellations
Standard Products may be returned within 30 days under the Return & Refund Policy. Orders may be cancelled without charge any time before dispatch; custom and made-to-order items may be cancelled only before production starts.
9. Warranty
Products are warranted against manufacturing defects as described in the Warranty Policy. That policy states the term, what is covered and excluded, and the claim procedure. Nothing in these Terms removes warranty rights that consumer law grants you.
10. Safe and Proper Use of Batteries
- Do not charge any LiFePO4 product below 0°C unless the system provides heating or a low-temperature cutoff.
- Do not puncture, crush, open, short-circuit or expose Products to fire or water beyond the stated ingress rating.
- Use chargers with a LiFePO4-appropriate profile; never use equalization modes designed for lead-acid.
- Follow all codes and regulations that apply to your installation, including electrical codes and transport rules for any onward shipment.
You are responsible for confirming that a Product is suitable for your application. Damage caused by use outside the Datasheet limits is excluded from warranty and may create hazards for which we bear no responsibility to the extent the law allows.
11. Intellectual Property
The Site’s text, product write-ups, data tables, photographs we own, logos and layout are protected by copyright and other laws. You may quote brief passages with attribution and a link. Wholesale reproduction, scraping for republication, or use of our content to train commercial datasets requires written permission. Third-party photographs used under Creative Commons licenses are credited on the page where they appear, and those licenses govern their reuse.
12. Acceptable Use of the Site
You agree not to interfere with the Site’s operation, probe or breach its security, submit malicious code, place fraudulent orders, misrepresent your identity, or use automated tools to place orders or harvest content at scale. We may block traffic and cancel orders involved in such activity.
13. Third-Party Content
Links to manufacturer specifications, standards documents and other external resources are provided for reference. We do not control those sites and are not responsible for their content or availability.
14. Disclaimers
The Site and its content are provided “as is” and “as available”. We do not warrant that the Site will be uninterrupted or error-free. Application notes and sizing examples on product pages are engineering guidance, not a promise of performance in your specific installation, which depends on factors we cannot see. Nothing in this section limits the product warranty in Section 9 or rights that cannot be disclaimed.
15. Limitation of Liability
To the maximum extent permitted by law: (a) our total aggregate liability arising out of or relating to an order is limited to the amount you paid for the Products in that order; (b) we are not liable for indirect, incidental, special, punitive or consequential damages, including lost profits, lost data, downtime or cost of substitute goods; and (c) these limits apply regardless of legal theory and even if we were advised of the possibility of the damages. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you. Nothing limits liability for death or personal injury caused by our negligence, fraud, or any liability that cannot lawfully be limited.
16. Indemnification
If you are a business customer, you will defend and hold us harmless from third-party claims and costs arising from your misuse of Products, your breach of these Terms, or your violation of law or third-party rights, except to the extent caused by our own fault.
17. Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, labor disputes, power or network failures, carrier disruption, and government action. Obligations resume when the event ends; either party may cancel affected orders if the event lasts more than 60 days, with prepayments refunded.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, USA, excluding its conflict rules and the UN Convention on Contracts for the International Sale of Goods. Before filing any claim, both parties agree to try in good faith to resolve the dispute through our support team within 30 days. Unresolved disputes go to the state or federal courts of Harris County, Texas, and both parties consent to that venue, unless the consumer law of your home jurisdiction gives you the right to sue there.
19. General Provisions
If any provision is held unenforceable, the rest remain in force. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them as part of a business transfer. Notices to us go to the contact address below; notices to you go to the email on your order. Section headings are for convenience only.
20. Changes and Contact
We may revise these Terms prospectively; the version posted when you order governs that order. Questions are welcome at the address below.
